The repeal will abolish several legal entity types and launch a three-year transition period.

Ukraine has enacted Law No. 4196-IX, repealing the Commercial Code effective 28 August 2025. The reform shifts business regulation to the Civil Code and redistributes some Commercial Code provisions into other laws.

The law abolishes the formation of several legal entity types, including state, municipal, private, foreign, subsidiary, civil society, and consumer cooperative enterprises. These forms will no longer be permitted from the effective date.

A three-year transition will begin from 28 August 2025. State and municipal enterprises must convert into joint-stock or limited liability companies (LLCs). Other affected entities will be treated as LLCs unless otherwise governed. After the transition, any conflicting charter provisions will be invalid.
