Romania has issued Emergency Ordinance no. 156 of 30 December 2024, which introduces various amendments to the Tax Code (Law no. 227/2015), which took effect on 1 January 2025.
One significant change includes raising the dividend tax rate from 8% to 10%. This increase applies to withholding tax on dividends for Romanian entities and non-residents. Taxes must be declared and paid by the 25th of the month after the dividends are paid.
In addition, there are also some changes to the micro-enterprise regime, including a turnover threshold reduction from EUR 500,000 to EUR 250,000, effective from 1 January 2025, and to EUR 100,000, which will go into effect from 1 January 2026.
The emergency ordinance was published in the Official Gazette no. 1334 on 31 December 2024.
